1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "You") and SoundWave Studios, located at 123 Ocean Drive, Miami Beach, FL 33139, USA, and governed by the laws of the State of Florida. By using our recording, mixing, mastering, or other audio production services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
2. Services Provided
SoundWave Studios offers a range of audio production services, including but not limited to:
- Recording: Capturing audio performances using professional-grade equipment in our studio.
- Mixing: Combining and enhancing individual audio tracks to create a balanced and polished sound.
- Mastering: Optimizing audio tracks for distribution across various platforms.
- Voice-Over Recording: Recording voice-overs for commercials, audiobooks, and other media.
- Podcast Production: Providing full podcast production services, including recording, editing, and mastering.
- Audio Restoration: Repairing and improving the quality of damaged or degraded audio recordings.
Specific details of the Services provided will be outlined in individual service agreements or contracts.
3. Booking and Payment
Bookings for studio time and other Services must be made in advance through our website, by phone at (305) 555-7890, or via email at [email protected]. A deposit may be required to secure your booking. Payment terms will be specified in your service agreement. We accept major credit cards, debit cards, and electronic transfers. All payments are non-refundable, subject to the cancellation policy outlined below.

4. Cancellation Policy
Cancellations must be made at least 48 hours prior to your scheduled session to avoid being charged the full session fee. Cancellations made with less than 48 hours notice will be subject to a cancellation fee equal to the full cost of the session. SoundWave Studios reserves the right to cancel or reschedule sessions due to unforeseen circumstances, such as equipment malfunction or staff illness. In such cases, we will provide you with a full refund or the option to reschedule your session at no additional cost.
5. Intellectual Property
You retain all rights to the intellectual property in your original audio recordings. However, SoundWave Studios retains all rights to its recording techniques, mixing processes, and mastering services. Upon full payment for the Services, you will receive a license to use the final audio recordings for commercial or non-commercial purposes, subject to any agreements regarding royalties or publishing rights. SoundWave Studios may use excerpts of your audio recordings for promotional purposes, unless you explicitly request otherwise in writing.
6. Client Responsibilities
You are responsible for:
- Providing all necessary audio files, lyrics, and other materials required for the Services.
- Ensuring that you have all necessary rights and permissions to use any copyrighted materials in your audio recordings.
- Adhering to all studio rules and regulations, including noise levels, equipment usage, and safety guidelines.
- Respecting the studio environment and treating our staff with courtesy and respect.
SoundWave Studios reserves the right to refuse service to anyone who violates these responsibilities.
7. Limitation of Liability
SoundWave Studios is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Services, including but not limited to loss of profits, data, or business opportunities. Our liability is limited to the amount you paid for the Services.
8. Indemnification
You agree to indemnify and hold SoundWave Studios, its officers, employees, and agents harmless from any and all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or in connection with your use of our Services or your breach of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.
10. Changes to Terms
SoundWave Studios reserves the right to modify these Terms at any time. We will post any changes on our website and notify you by email. Your continued use of our Services after the posting of changes constitutes your acceptance of the revised Terms.
